The short version
- You keep the entire $297 setup fee on every café you sign, plus $10 a month for as long as that café stays a client.
- You are paid on sales, never on recruiting. Bringing in another partner earns you nothing.
- Nothing is guaranteed. Most partners who knock on no doors earn nothing at all.
- You are self-employed. Your taxes are yours to handle.
- Either of us can walk away at any time, and your monthly residuals keep running on clients you signed.
This summary is here so you actually read something. The numbered terms below are what governs.
01Who this is between
These terms form the agreement between Binolab ("Bino", "we", "us"), based in Montréal, Québec, and you, the individual who paid the partner activation fee and was accepted into the Bino Partner Program.
You accept these terms when you pay the activation fee. If you do not agree with them, do not pay.
02What the activation fee covers
The one-time fee of $45 CAD covers the cost of setting you up, not the right to earn. It includes:
- Your partner account and your personal signup link, used to credit your sales
- A physical Bino demo card, which is yours to keep and show to business owners
- The door script, objection handling, and the materials we give partners
- Your listing in our system so commissions can be tracked and paid to you
The fee is refundable in two situations:
- Before your kit ships. Ask within 14 days of paying and we return it in full, no questions.
- If you did the work and it didn't land. Pitch 20 businesses using our script within your first 30 days and sign none of them, and we refund your $45. We will ask you which 20, so keep a list.
Outside those two cases the fee is not refundable, because the materials have been produced and sent.
03How you get paid
A sale counts once a café has paid its setup fee and we have installed its cards. Not at the handshake, and not at a verbal yes.
| What you earn | Amount | When |
|---|---|---|
| Setup commission, per café | $297 | Next payout after install |
| Monthly residual, per active café | $10 / mo | While that café pays |
| Volume bonus — 3 to 4 cafés in a calendar month | $100 | Added to the next payout |
| Volume bonus — 5 to 7 cafés in a calendar month | $250 | Added to the next payout |
| Volume bonus — 8 or more in a calendar month | $600 | Added to the next payout |
The $297 is the full setup fee the café pays. We keep none of it. Bonuses are not stacked — a month with six installs pays the $250 tier, not $100 plus $250.
Payouts run on the 1st and the 15th of each month, by Interac e-Transfer, covering every sale whose payment cleared at least five days before that date. The five days exist because card payments can be reversed, and we would rather pay you once, correctly.
04When a commission is reversed
A commission already paid to you is deducted from your next payout if, within 30 days of the café's payment:
- The café charges back or disputes the payment
- We refund the café
- The sale turns out to have been made on a false promise, or to a business that did not understand what it was buying
If no further payout is coming, the amount is owed back to us. This is not a trap we are hoping to spring. It applies to roughly nobody who sells honestly.
05No income is guaranteed
We do not guarantee that you will earn anything. Not the $297, not a single sale, not a dollar.
Any figure you have seen from us — on our site, in a video, in a call, in a message — is an illustration of what the commission structure pays, not a forecast of what you will make. Results depend entirely on how many doors you actually knock on and how well you do it. Many partners earn nothing.
You should not pay the activation fee with money you need.
06You are never paid for recruiting
Commissions are earned on closed sales to businesses, and on nothing else. You earn nothing for introducing, referring, or signing up another partner, and no part of your earnings ever comes from another partner's activation fee.
If you tell a prospective partner otherwise, we will end your partnership.
07You are self-employed
You are an independent contractor, not an employee, agent, or representative of Binolab. Nothing here creates an employment relationship, a partnership in the legal sense, or a joint venture.
That means: you choose your own hours and territory, we do not withhold or remit anything on your behalf, and you are responsible for declaring your own income and paying your own taxes. We will issue you a record of what we paid you each year. What you do with it is between you and Revenu Québec.
You cover your own costs — transport, phone, anything else you choose to spend.
08What you must not do
At a door, you represent Bino whether you mean to or not. You must not:
- Say you are an employee of Binolab, or that you have authority to sign anything on our behalf
- Quote a price other than the published one, or promise features, timelines, or results we have not committed to
- Promise a business owner any specific increase in customers, revenue, or reviews
- Offer a business anything in exchange for Google reviews, or help a client incentivize reviews — this breaks Google's policies and consumer-protection law, and it is the fastest way to get a client delisted
- Send marketing emails or texts to businesses you have not got express consent from, which Canada's anti-spam law requires
- Enter a business that has asked you not to return, or keep pitching after a clear no
- Use the Bino name, logo, or materials for anything outside selling this product
Any of these ends the partnership immediately and forfeits unpaid commissions on the sales affected.
09The client belongs to Bino
Every business you sign becomes a Binolab client. We hold the contract, we do the install, we run the service, and we handle support. You are paid on that relationship for as long as it lasts, but you do not own it.
You may not sell a competing loyalty or review product to a client you signed through us while your partnership is active, or for six months after it ends.
If two partners claim the same business, the sale belongs to whoever's signup link the business actually paid through. Keep your own link in front of the owner.
10Customer information
You will see business owners' names, phone numbers, and email addresses. That information belongs to the client and to Bino, and it is governed by Québec's Law 25.
Do not copy it, keep it in your own files, export it, or use it for anything other than closing and supporting that sale. When your partnership ends, delete whatever you still hold.
Customer data belonging to a café's own customers — the people who scan the cards — is never yours to access, and you should never ask a client for it.
11Ending the partnership
Either of us can end this at any time, for any reason, with written notice. No notice period, no penalty, no explanation owed.
If you leave or we part ways on normal terms:
- You are paid every setup commission already earned on installs completed before the end date
- Your monthly residuals keep running on the cafés you signed, for as long as each one remains a paying client
- Your signup link is deactivated, and your activation fee is not returned
Residuals stop permanently if the partnership ends because of fraud, a false representation to a client or prospect, or a breach of section 06 or 08.
12Changes to these terms
We may update these terms. If a change affects what you are paid, we will tell you by email at least 30 days before it takes effect, and every sale installed before that date is paid at the old rate.
Continuing to sell after a change takes effect means you accept it. If you do not, end the partnership under section 11 and you will still be paid what you have earned.
13Governing law
These terms are governed by the laws of the Province of Québec and the federal laws of Canada that apply in it. Any dispute goes to the courts of the judicial district of Montréal.
If one clause turns out to be unenforceable, the rest still stands.
The parties confirm their express wish that this agreement be drawn up in English. Les parties confirment leur volonté expresse que la présente entente soit rédigée en anglais. A French version is available on request and prevails in case of conflict.
